Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and enso media, LLC (“enso media,” “we,” “us,” or “our”) governing your access to and use of the enso media platform, software, APIs, and all related services (collectively, the “Service”).

By accessing or using the Service, clicking “I agree,” or otherwise manifesting your assent to these Terms, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms, in which case “you” refers to both you individually and that organization.

2. Description of Service

enso media provides an AI-powered media operations platform designed to automate and assist with digital advertising campaign management. The Service includes five specialized AI agents — Helm (Orchestrator), Sage (Media Planner), Spark (Media Buyer), Pulse (Reporting Analyst), and Sentinel (Media Auditor) — that collectively automate campaign planning, buying, monitoring, auditing, and reporting across supported digital advertising platforms.

The Service may integrate with third-party advertising platforms including, without limitation, Google Ads, Meta Ads, and TikTok Ads via their respective APIs and authorization frameworks. These integrations require you to grant the Service access to your accounts on those platforms, subject to your agreement with those platforms' terms of service.

enso media reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3. Google Ads API — Access and Authorization

The Service uses the Google Ads API, provided by Google LLC (“Google”), to interact with your Google Ads account(s) on your behalf. Your use of Google Ads features within the Service is subject to and governed by the Google Ads API Terms of Service, the Google Terms of Service, and all applicable Google policies. In the event of any conflict between these Terms and Google's terms or policies with respect to Google Ads API usage, Google's terms and policies shall prevail.

By enabling Google Ads integration within the Service, you expressly authorize enso media to:

  • Access your Google Ads account data, including campaign performance data, spend data, targeting configurations, creatives, and account settings.
  • Create, modify, pause, and activate campaigns, ad groups, ads, and bidding strategies within your Google Ads account.
  • Retrieve reporting data, impression and click metrics, conversion data, and budget utilization information.
  • Make changes to your Google Ads account as directed by your instructions to the Service or as automated by the Service's AI agents operating within parameters you have approved.
  • Store and process data retrieved from your Google Ads account as described in our Privacy Policy.

You acknowledge and agree that you are solely responsible for all campaign activity, expenditures, and decisions made within your Google Ads account, including those made by the Service on your behalf. enso media is not liable for any ad spend, campaign outcomes, policy violations, or account suspensions resulting from the Service's actions within your Google Ads account.

You represent and warrant that you have the legal authority to grant the Service access to any Google Ads account you connect, and that your use of the Service in connection with Google Ads complies with all applicable Google policies, including the Google Ads policies available at support.google.com/adspolicy.

4. OAuth 2.0 Authorization

To connect third-party advertising platforms — including Google Ads — to the Service, we use the OAuth 2.0 authorization protocol (“OAuth”). OAuth allows you to grant the Service limited, scoped access to your accounts on third-party platforms without sharing your passwords with us.

When you initiate an OAuth authorization flow:

  • You will be redirected to the third-party platform (e.g., Google) to authenticate and review the specific permissions being requested.
  • You must affirmatively grant the requested permissions before the Service is authorized to act on your behalf.
  • The Service will receive an access token and, where applicable, a refresh token from the third-party platform. These tokens are stored securely and used solely to perform actions you authorize.
  • You may revoke the Service's access to your connected accounts at any time through the third-party platform's account settings or through the Service's account management interface.

The specific permissions (scopes) requested via OAuth will be disclosed to you at the time of authorization and will be limited to those necessary to provide the Service. For Google Ads integration, scopes may include read and write access to your Google Ads account data as described in Section 3 above.

Revoking OAuth access will prevent the Service from accessing or modifying your connected accounts going forward but will not affect data previously retrieved and stored in accordance with our Privacy Policy.

5. User Accounts and Registration

To access the Service, you must register for an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account at hello@ensomedia.io.

You may not share your account with others, create accounts using false information, or use the Service if you are under 18 years of age or not of legal age to form a binding contract in your jurisdiction.

6. Acceptable Use and Prohibited Conduct

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights, including intellectual property rights, privacy rights, or advertising regulations.
  • Conduct false, misleading, or deceptive advertising campaigns or engage in ad fraud.
  • Circumvent, disable, or interfere with security-related features of the Service or connected platforms.
  • Access, scrape, or harvest data from the Service or connected platforms in ways not authorized by these Terms or applicable platform terms.
  • Reverse engineer, decompile, or disassemble any component of the Service.
  • Use the Service in a manner that exceeds rate limits or API quotas imposed by third-party platforms or by enso media.
  • Upload or transmit malware, viruses, or other malicious code.
  • Use the Service to violate Google's advertising policies or any other platform's policies applicable to your connected accounts.

7. Intellectual Property

The Service, including all software, algorithms, AI models, interfaces, content, and documentation, is owned by enso media or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership interest in the Service.

You retain all rights to your own data, creative assets, and campaign content that you upload to or process through the Service. By using the Service, you grant enso media a limited, non-exclusive license to access and process your data solely to provide the Service to you.

Aggregated, anonymized, and de-identified data derived from your use of the Service may be used by enso media to improve and develop the Service, provided such data cannot reasonably be used to identify you or your clients.

8. Third-Party Services and Platform Dependencies

The Service integrates with third-party platforms and services including Google Ads, Meta Ads, TikTok Ads, Supabase, Resend, Anthropic, and others. enso media makes no representations or warranties regarding the availability, accuracy, or performance of these third-party services. Disruptions, changes, or terminations of third-party APIs may affect the Service's functionality, and enso media shall not be liable for any resulting impact on your campaigns or business.

Your use of third-party services is subject to each platform's own terms of service and policies. You are solely responsible for ensuring compliance with all applicable third-party terms.

9. Payment and Billing

Certain features of the Service may be made available on a subscription or usage-based basis. Applicable pricing, billing terms, and payment conditions will be presented to you prior to purchase and incorporated into these Terms by reference. All fees are exclusive of applicable taxes, which you are solely responsible for.

enso media reserves the right to modify pricing with reasonable advance notice. Continued use of paid features after a pricing change constitutes your acceptance of the new pricing.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

enso media does not warrant that the AI-generated outputs, campaign recommendations, media plans, or audit findings produced by the Service will be accurate, complete, or suitable for your specific purposes. All AI outputs should be reviewed by qualified personnel before acting upon them.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENSO MEDIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, COST OF SUBSTITUTE SERVICES, OR ADVERTISING SPEND LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ENSO MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ENSO MEDIA'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ENSO MEDIA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless enso media and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any advertising platform's policies; (d) your violation of applicable law; or (e) any campaign, creative, or content you upload, activate, or process through the Service.

13. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation does not apply to information that is or becomes publicly available through no breach of this provision, or that the receiving party independently develops without reference to the disclosing party's confidential information.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

You waive any right to participate in a class action lawsuit or class-wide arbitration against enso media.

15. Changes to These Terms

enso media reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date, and where appropriate, by sending notice to the email address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

16. Termination

Either party may terminate these Terms and your access to the Service at any time. enso media may suspend or terminate your account immediately if you violate these Terms, applicable law, or any third-party platform's policies. Upon termination, your right to use the Service ceases immediately. Sections 7, 10, 11, 12, 14, and 16 shall survive termination.
